Governance before growth.

This page converts a foundation intention into a formation and control pack that can be challenged publicly. These are not executed statutes, adopted resolutions or registered instruments. They are design instructions for review by Spanish legal counsel, a notary, the relevant Protectorate and the independent people who may eventually accept real responsibilities.

AI and evidence governance

Govern the system before choosing the model.

Independence depends on data, permissions, traceability and network egress, not only on the name of an LLM.

Access before retrieval

Filter by matter, purpose and role before any model sees a passage.

Full segregation

Originals, embeddings, indexes, logs and caches inherit the matter boundary.

Jurisdiction and egress

Explicit allowlist; deny-by-default network egress for the sensitive profile.

Model register

Model/origin/configuration/prompt-policy versioned for material reviews.

No silent fallback

Do not switch to an unapproved provider/model for availability or cost.

Adversarial tests

Prompt injection, exfiltration, cross-matter contamination and fabricated sources.

Human authority

The model proposes; the competent person admits, rejects, corrects or closes.

Incident and rollback

Stop the affected use, preserve the record, correct and retest a new version.

The sovereign/open profile is designed, not claimed deployed. Describing encryption, independent restoration or institutional validation does not establish that they have occurred.

Formation pack

Eight instruments before execution

Each instrument must be legally validated, adapted to the applicable framework and approved by those who formally accept responsibility.

Draft

1 · Purposes and public-benefit theory

Preventive procedural integrity, documentary traceability, education, research, access to justice and responsible technology without invading public competences.

Not a substitute for the statutory purposes required by law.
Draft

2 · Statutes and mandate rules

Object, seat, scope, Board, terms, appointment, removal, decisions, delegations, accounts, amendment and destination of assets.

Legal, notarial and registry validation required.
Draft

3 · Independence charter

Recusal, conflicts, funding, donors, property, founder, related litigation, publication and prohibition on influence over outcomes.

Must bind trustees, staff, reviewers and collaborators.
Draft

4 · Method charter

Evidence states, provenance, contradiction, strongest defences, corrections, human control, AI limits and review of hard-to-reverse decisions.

A support tool; never an automated decision-maker.
Draft

5 · Data and security policy

Minimisation, lawful bases, role-based access, encryption, retention, incidents, rights, vendors and no silent re-use.

Data-protection impact assessments where required.
Draft

6 · Publication and correction policy

Source, response, proof state, pre-publication review, versions, withdrawal, rectification and separation of research, litigation and public communication.

Visible correction is a function, not a defeat.
Draft

7 · Funding and resource acceptance

Donor diligence, restrictions, gifts, conditional funding, segregated accounts, related-matter funds and rejection of material control.

No resource buys a conclusion or position.
Draft

8 · Property and heritage charter

The seat, if acquired, serves the mission; it does not control the institution. Ownership, use, conservation, funding and governance remain distinct.

The house is not the Foundation.

Proposed architecture

Separate governance, method, conflicts and execution

The names are functional and provisional. Final composition depends on the legal framework and people willing to accept real rather than honorary duties.

Body or functionResponsibilityMinimum independenceWhat it may not do
Board of TrusteesPurposes, strategy, budget, accounts, risk, appointments and oversight.A majority capable of deliberating independently of the founder; recorded minutes and conflicts.Decide a related matter without recusal and independent review.
Conflicts and integrity committeeDeclarations, recusals, donors, related matters, alert protection and exceptions.Members without a material interest; direct access to the Board and external advice.Become the founder’s defence team or a disciplinary tribunal.
Scientific and method councilTest design, red-teaming, false positives, published limits and research agenda.Legal, technological and social plurality; dissenting views preserved.Attribute guilt, decide litigation or certify accuracy without a basis.
Executive managementOperations, people, projects, contracts, security and daily compliance.Written delegations, indicators, oversight and separated records.Hide incidents, alter records or present readiness as adoption.
External reviewFinancial, legal, data, security, method or impact audit according to risk.Mandate, scope, conflicts, remuneration and limitations disclosed where possible.Lend a generic appearance of approval without examining the relevant object.

Matter related to a founder, trustee or funder

Quarantine and independent-decision protocol

Disclosing a conflict does not cure it. It must change who can access, frame, fund, decide and publish.

Declare and classify

Identify the personal, financial, professional, litigation, family or reputational interest and its exact reach.

Information quarantine

Separate the record, permissions, funding, advice, communications and team.

Recuse

The connected person does not lead the review, select the conclusion or vote on the merits.

Appoint an independent lead

Written mandate, defined competence, checked conflict and freedom to close, correct or decline publication.

Apply the double test

Strongest favourable case, strongest contrary case, missing evidence, competence, proportionality and reversibility.

Record and review

Decision, reasons, dissent, review date, funding, access and evidence that would change the result.

Funding, property and donors

No asset may control the method

Independence can be lost through material dependency as well as an express instruction.

Resources without outcome purchase

Conditions determining findings, silence, persons examined, publications or appointments are rejected. Legitimate restrictions are documented and compatible with the general purpose.

Segregated accounts and records

A related matter does not use general funds without independent, traceable authority. Personal litigation costs are not presented as Foundation activity.

The house is not the Foundation

San Bernardo may provide permanence and capacity if acquired and brought into use. It gives no seller, funder, owner or donor influence over method, appointments or conclusions.

Formation route

From draft to valid instruments

  1. opinion on legal form, territorial scope, competent Protectorate and purposes;
  2. map of founders, endowment, assets, funding and beneficiaries;
  3. specialist review of statutes and charters;
  4. selection, diligence and acceptance by independent trustees;
  5. financial, accounting, tax, employment, technology and insurance plan;
  6. execution, registration and lawful registrations;
  7. first action plan and external-evaluation timetable;
  8. publish the new status only when documented.
