Preparing is not appointing. Sending is not engaging. Constituting is not registering.
Por Derecho has converted its Foundation architecture into four defined assignments: legal formation, independent governance recruitment, adversarial synthetic review and conservation of San Bernardo. This page shows what the documents permit us to say and what still depends on external professionals, consent and legally effective acts.
Four defined assignments
Enough material to request a professional decision
Each pack contains scope, exclusions, deliverables and a stop gate. None replaces written acceptance by the competent professional.
GOV · 01Prepared · not sent
Legal and notarial formation
An instruction to decide Canary competence, denomination, founders, purposes, dotation, Board, conflicts, notarial/registration route, taxation and annual compliance.
May recommend formation, conditions or a pause.
Does not ask counsel to validate Sun Park or the methodology.
Separates San Bernardo and any recovery from the Foundation estate.
BOARD · 01Architecture · no appointments
Independent Board
A competence matrix, exclusion criteria, conflict declaration, interview and informed-acceptance process for people capable of correcting or stopping the promoters.
Not a search for allies in litigation.
No candidate list is published.
Considering a role is not endorsement.
RT · 01Protocol prepared · review not performed
Wholly synthetic red team
An adversarial commission using Case Prism, without Sun Park, ICALPA or an anonymised real matter. Reviewers may require redesign or conclude “do not deploy”.
False positives and false negatives.
Competence, privacy, bias and accessibility.
Mandatory test of clearing a concern.
PAL · 01No access · no architect
San Bernardo conservation
An RFP for a conservation architect, beginning with a documentary stage and a proposal for a lawful, non-intrusive, authorised survey.
Not acquisition diligence or valuation.
Does not authorise entry, photography, measurement or contact with the family.
The house is not the Foundation.
90-day programme
Four phases, each with a “do not proceed” exit
The timetable does not promise a formation date. It orders dependencies so that no public step overtakes its evidence.
Days 0–15
Send the legal instruction, fix competence and name, decide the dotation route, prepare conflicts, freeze Case Prism and confirm the property channel.
Days 16–30
Obtain the first legal view, begin governance conversations, clear reviewer conflicts and identify conservation profiles without approaching the property outside the channel.
Days 31–60
Prepare statutes and deed, financial model, candidate declarations, synthetic commission and—only where appropriate—the architect’s documentary inception.
Days 61–90
Decide whether to constitute, redesign or pause; receive the red-team outcome; formalise acceptances; and decide whether sufficient authority exists for a building survey.
Public-truth matrix

Three states that must not be merged
Internal document, external responsibility and legal effect
Institutional maturity depends on preserving the separation.
Prepared
A usable, versioned and safeguarded pack exists. It may not yet have been sent.
Accepted or commissioned
An external person has accepted a defined scope, conflicts and responsibility in writing.
Legally effective
The required act has occurred: appointment, deed, registration, contract, authorisation or completed report.
Boundary with the live matter
Institutionalisation does not turn a hypothesis into truth.
The promoters’ experience may generate research questions. Independent governance, synthetic testing and sources must be able to change, clear or close them. No formation step adds evidential weight to a Sun Park allegation.
