PP 1041 CORRECTION · POR DERECHO FORMAL ALLEGATION

A withdrawal was filed in LPB’s name; a voluntary and authorised decision is not proved.

Documented: lawyer removal, later filing in LPB’s name, CAM non-opposition and closure. Alleged: lack of authority, false attribution, deliberate detriment, conflict and CAM/Acosta Matos benefit. Pending: pleading, instruction, signature, power, ratification, intent and criminal classification.

The strongest defensible case is an appropriation architecture—not an isolated clause.

The controlled record now supports judicial determination of whether a distressed secured credit was converted into practical control and then title through a connected sequence that progressively removed information, alternatives, value protection and reversibility.

OUR PRESENT POSITION

There is a serious case of indirect commissory appropriation to be determined. The case does not depend on pretending that a classical appropriation clause has already been located. It depends on proving what the combined machinery did: creditor-side decision control, rejection of alternative exits, transfer to CAM, a specifically contested valuation, material control before title, Insolvency Administrator gatekeeping, judicial dación and an unreconciled debt–value–surplus account.

This is not yet a final judicial finding of pacto comisorio, collusion or crime. It is the strongest legal characterisation the existing evidence is capable of carrying.

The chain must be judged by its substance

1 · Bankia externalorigination, SWAP, pledged funds, default and enforcement
2 · SAREB → PH122credit, price, warranties and servicing
3 · Cerberus / Hayaworkout entry, criteria, rejection and routing
4 · PH122 → CAM20 Oct 2017 assignment and knowledge transfer
5 · AC gatekeepingrepresentation, litigation, valuation and estate route
6 · Control / dación2018 control before 2021–2022 title
7 · CAM → HNTeconomic-unit succession and current end-state

Each entity and capacity remains legally separate. The forensic question is whether the arrows formed one indispensable route to the same beneficiary outcome.

Why the case has crossed the threshold from suspicion to a serious legal issue

Date / stageWhat the record supportsWhy it matters
April 2015Haya communicated that the LPB proposal had been analysed in a weekly creditor-side forum against the debt holder's criteria. The workout reached a functioning decision channel. This was not passive receipt.
18 May 2016After Cuatrecasas submitted a PH122/Cerberus proposal, Haya stated that “the creditor” had rejected its terms and no signed version was required.A creditor decision existed. The missing mandate and committee record now conceal who decided, why and under what authority.
May 2017Haya received the Bankia/SWAP and PH122 two-mortgage architecture, prior offers, convenio and viability plan; it identified Cerberus interlocutors and separately promised a Bankia contact. The perimeter had direct notice of the credits, the proposed exit and the distinction between upstream Bankia and PH122/Cerberus lanes.
20 Oct 2017 → Jan 2018CAM acquired the credits and rapidly advanced a debt/valuation/dación proposal. The later acquirer did not arrive in an evidential vacuum; its due-diligence and disclosure file should show what history travelled with the asset.
25 Jan → 5 Mar 2018The Insolvency Administrator directly ended LPB counsel's formal mandate in the deed-and-price proceeding; LPB then withdrew and the route ended by withdrawal. An institutional gate affecting assignment information and LPB representation is directly documented. The estate-interest reason remains missing.
2018ACTÚA's low valuation entered the CAM/AC route and was contemporaneously challenged by GESVALT on methodology and physical condition. Material access/control effects then arose before formal title.Value and control began converging with the creditor route years before the deed.
2021–2022The judicial route culminated in protocol 457: 159 mortgaged properties transferred to CAM against stated debt of €13,168,082.02.The arithmetic exists. The unresolved issue is whether each component was legally payable and whether value above lawful debt was preserved for the estate.
2022 onwardThe Sun Park economic unit was segregated to HNT by stated universal succession. The current end-state depends economically and legally on upstream bridges whose exact independence and liabilities must be proved.

The legal distinction that decides the case

Lawful realisation

A post-default dación can be lawful where the process is genuine, judicially authorised where required, based on independent and appropriate valuation, open to contradiction and alternatives, limited to legally payable debt and protective of any remnant for the estate.

Indirect prohibited appropriation

The prohibition becomes engaged where apparent legal steps operate together as a security-to-ownership mechanism that strips out genuine valuation, choice, contradiction or surplus protection and leaves the creditor with the asset because of non-payment.

The decisive question: was the 2022 dación the independent end of a lawful market-tested liquidation, or the final formalisation of an acquisition route already shaped through creditor decisions, information control, a contested value premise, pre-title control and institutional gatekeeping?

Legal anchors: Spanish Civil Code arts. 1859 and 1884; insolvency rules governing realisation, dación, secured-credit satisfaction and the estate's remnant. Temporal and transitional law must be applied to each act.

Responsibility is actor-specific, but the architecture is unitary

The strongest opposing case belongs here

CAM and the other affected actors may say that there was no ex ante appropriation clause; the original mortgages pre-dated CAM; the proposal was an ex intervallo post-default settlement; the dación extinguished debt; the Court authorised the liquidation route; ACTÚA was a professional valuation; competing appraisals served different purposes; ONA and refinancing proposals were conditional; the 15 February 2018 order recognised CAM and rejected LPB's strict Article 1535 position; and later registered or third-party rights survive independently.

That is a serious defence. It does not answer the case without the native decision, valuation, debt and surplus records.

What a court should determine

  1. The legally payable and secured debt as at 21 February 2022, component by component.
  2. The date-specific value and exact property/business perimeter CAM received.
  3. Whether the liquidation route genuinely tested alternatives and market value.
  4. Who controlled the 2015–2017 creditor decisions and why the proposals were rejected.
  5. Why LPB's deed-and-price route was abandoned after the Administrator changed its representation.
  6. How the GESVALT critique was treated and why ACTÚA supplied the decisive premise.
  7. What authority supported material control before formal title.
  8. Where the €400,000 premises line, income, costs, debt extinguishment and any remnant were finally accounted for.
  9. Which later HNT or third-party rights rest on independent title and which depend on the contested bridges.

Our strongest present formulation

The court should determine whether the credit acquisition, documented creditor-side decision control, loss or restriction of alternative exits, disputed valuation, material control before title, Insolvency Administrator gatekeeping and later dación formed an integrated mechanism by which the creditor obtained the secured assets without a genuinely objective valuation and without preserving the estate's excess value.

If that is proved, the legally dependent arrangement should be characterised, to the appropriate extent, as an indirect prohibited commissory appropriation and/or fraud on law, with accounting, restitution, surplus integration, partial ineffectiveness and other remedies determined actor by actor and property by property.

Status: strong evidential and legal case for determination · not a final merits judgment. Complete instruments and exculpatory or corrective material are invited and will be incorporated with provenance.
