Haya stated that LPB's proposal had been analysed in a weekly conference against the debt holder's criteria.
BANKIA EXTERNAL → SAREB → PH122 / CERBERUS / HAYA → CAM → HNT
The Sun Park record must identify not only who held the credit, but who controlled the decisions, what information was available, what alternatives were rejected, what each actor did after notice and how the credit was ultimately converted into control and title.
“Lender-of-record liability” is a forensic organising framework, not one freestanding Spanish cause of action. But the absence of one global cause does not erase responsibility. Upstream retained obligations, defects affecting the credit, direct downstream conduct, mandate and ratification, insolvency gatekeeping, unjust enrichment, universal succession and civil liability arising from independently proved crime must each be tested against the same reconstructed chain.
The record now supports a serious case for judicial determination of an indirect credit-to-control-to-title appropriation architecture. The case does not depend on alleging that every transfer was unlawful or that a classical pacto comisorio clause has already been found. It asks whether creditor-side decision control, rejected exits, CAM's acquisition, a disputed valuation, pre-title control, Insolvency Administrator gatekeeping and the 2022 dación operated together without genuine value and surplus protection.
| Stage | Strongest presently supported proposition | Decisive missing record |
|---|---|---|
| Bankia external / originator | Origination, refinancing, SWAP, pledged funds, account treatment, default, acceleration and 2012 enforcement belong to an upstream lane that does not disappear when the credit is sold. | Native loan/product/account files and exact transfer/retention allocation. |
| Bankia → SAREB | SAREB became a later holder of the mortgage credit. The asset carried its true originating balance, payments, security and legally available defences. | Complete instrument, asset schedule, balance, warranties and retained obligations. |
| SAREB → PH122 | PH122 is documented as holder by the 2015 workout window. | LSAP/policy, schedule, allocated price, payment, adjustments and disclosures. |
| PH122 / Cerberus / Haya | The workout entered a functioning creditor-side decision channel. Haya communicated weekly analysis, creditor criteria, rejection and later Cerberus/Bankia routing. | Servicing agreement, powers, principal, committee, decision packs, reasons and ratification. |
| PH122 → CAM | CAM acquired the credits on 20 October 2017 and then advanced its own debt/valuation/dación route. | Protocol 2,248, schedules, price/payment, due diligence, disclosures, warranties and side arrangements. |
| Insolvency Administrator / Court | The Administrator controlled indispensable LPB gates; the Court recognised CAM on 15 February 2018 while rejecting LPB's strict Article 1535 position and partly correcting amounts. | Complete representation, withdrawal, verification, valuation, liquidation, implementation and accounting file. |
| CAM → HNT | Official notice described segregation of the Sun Park economic unit to HNT by universal succession. | Project, deed, balance, active/passive schedules, litigation contingencies and retained liabilities. |
Haya stated that LPB's proposal had been analysed in a weekly conference against the debt holder's criteria.
Haya communicated that “the creditor” had rejected the proposal and that no executed version was required.
Haya received the three-credit, convenio and viability architecture, identified Cerberus interlocutors and separately undertook to provide the Bankia contact.
The issue is no longer whether the workout reached the creditor perimeter. It did. The issue is who decided, under what authority, with what comparative analysis and with what foreseeable effect.
The credit and accessories may travel. Every personal obligation of the transferor does not automatically travel.
A defect affecting the credit may remain relevant. A later holder also answers for its own post-notice conduct.
PH122, Haya and Cerberus roles require mandate, authority, instruction, ratification and benefit evidence.
Private desire to acquire did not substitute for the statutory office and judicial gates required to affect LPB's estate.
PH122→CAM was a credit assignment; CAM→HNT was a different corporate operation described as universal succession.
Duty, power, knowledge, act, implementation, intervening causes, damage and remedy must be proved actor by actor.

What benefit lacks legal basis, what followed the economic unit and what remedy survives?
Asset or equity diminution, identifiable surplus, rents/fruits in a proven wrongful period, direct damage and necessary corrective costs.
Lost refinancing, convenio exit, identified hotel-operation period and finance costs—subject to financeability and probability proof.
Long-term platform, brand expansion, future developments and wide multi-year projections. These do not lead the case.
Liquidity/default, owner conflict, Administrator and judicial decisions, title problems, independent finance committees, market risk and mitigation must all be tested as possible intervening causes.

No actor receives a clean slate merely because the credit changed hands or a later order formalised title. The legal analysis begins with the true credit and follows knowledge, decision authority, direct conduct, institutional gatekeeping, benefit, causation and succession through every node.
The strongest current case is not “everyone inherited everything.” It is that distinct actors occupied distinct but connected positions in a credit-to-title architecture and must answer for the rights they acquired, the decisions they controlled, the acts they performed, the benefits they received and the incremental harm legally attributable to them.
