Legal analysis · Inparsa / Hoteles Beatriz · restructuring · prevaricación
When can an insolvency dispute become a criminal question?
Judgment 61/2025 approved a restructuring that changed control of Inparsa over the shareholders’ opposition. A CGPJ complaint followed and, according to La Razón, the Canary Islands High Court provisionally screened a prevaricación complaint against the judge. None of that establishes guilt. It requires us to distinguish a commercial disagreement, a procedural irregularity and a potentially criminally unjust decision.
Facts, accounts and limits
Four layers that must not be collapsed.
The force of this matter does not depend on adjectives. It depends on what the court decided, what each party alleges, what later procedural step has been reported and which primary record remains unavailable.
Approval of the plan
Judgment 61/2025 of 18 September 2025 approved the Blantyre/Meru plan. It describes support from 89.9% of affected financial debt, debt measures and a capitalisation that would allocate approximately 71% of the equity to the plan proponents.
Solvency, maturity and valuation
Inparsa has publicly challenged insolvency, debt maturity, the valuation relied on, treatment of financial evidence and the protection it received. These are a party’s allegations, not findings in a criminal judgment.
Viability and creditor support
Blantyre has said that the debt had matured, Inparsa was insolvent, the valuation was valid and the plan was the viable alternative supported by the large majority of financial creditors.
CGPJ and criminal complaints
Media reported Inparsa’s CGPJ complaint. On 13 February 2026, La Razón reported provisional admission or screening of a prevaricación complaint by the TSJC. We have not located the primary TSJC order or a later public outcome that would justify describing a more advanced status.
Spanish Criminal Code articles 446–449
A debatable ruling is not prevaricación merely because it is debatable.
The published case-law threshold requires an objectively unjust decision outside any reasonable or defensible legal interpretation, together with the required mental element. The criminal question is not simply whether another outcome was preferable.
Identify the exact act
Date, terms, jurisdiction, application decided and executable consequences. A broad criticism of proceedings does not replace the allegedly unjust decision.
Exclude a defensible interpretation
The case must explain why the decision cannot reasonably fit the law or evidence, not merely why one party was harmed.
Prove what the decision-maker knew
Traceability is central: documents filed, date of notice, warnings, funded alternatives and judicial responses.
Do not infer intent from outcome
Economic scale or an irreversible control transfer may justify scrutiny, but it does not alone prove knowledge of injustice.
A limited legal bridge
Inparsa does not prove Sun Park. It makes a method of investigation visible.
The matters involve different debtors, parties, mechanisms and judges. The defensible connection lies in the questions an independent reviewer must answer when commercial proceedings produce a difficult-to-reverse transfer of value or control.
| Axis | Inparsa / Hoteles Beatriz | Sun Park | Shared question, not shared conclusion |
|---|---|---|---|
| Financial premise | Solvency and debt maturity disputed by the parties. | Gil Marer/Aweswell dispute debt, title, payments and the insolvency perimeter. | What was due, to whom and when? |
| Valuation | Competing valuation accounts in the public controversy. | It is alleged that value, assets and third-party rights were not properly preserved or tested. | What was valued, at what date and under which assumptions? |
| Alternative | Inparsa says financial evidence or alternatives deserved different treatment; Blantyre disagrees. | The Sun Park record identifies a funded payment or deposit solution communicated in 2018. | Was it real, funded, timely and judicially assessed? |
| Effect | Capitalisation and approximately 71% of equity for plan proponents. | Loss of control and displacement of value beyond the correct perimeter are alleged. | Was the result proportionate and was a less harmful remedy available? |
| Criminal status | Reported provisional screening; no guilt outcome located. | Criminal allegation made; no published merits ruling on guilt. | What primary evidence proves or disproves each criminal element? |
Agenda for lawyers and journalists
Six questions capable of changing the account.
What does the primary order say?
Its text, date, chamber, scope and later status are needed—not only media characterisation.
Which expert reports did the court see?
Subject, cut-off date, debt assumptions, comparables, sensitivities and responses to objections.
Was there a funded offer?
Amount, terms, proof of funds, procedural timing and express reason for acceptance or rejection.
What protection remained effective?
Stay, adversarial process, appeal and practical ability to prevent an irreversible effect.
What was filed and when?
The chronology of submissions and responses matters more than retrospective reconstruction.
What is the other side’s explanation?
Evidence must be capable of refuting the thesis. Proponents and advisers are expressly invited to correct the record.
