When does a commercial-court result cease to be merely adverse?
Inparsa made an extraordinary but legitimate question public in Las Palmas: whether a judicial restructuring sequence could contain criminally relevant irregularities. Sun Park advances a different allegation against a different judge in a different proceeding. The comparison proves no guilt; it identifies the evidence capable of defeating the allegation or requiring its investigation.
Reading rule
The comparator opens the question. Only the Sun Park record can answer it.
A complaint against another judge does not make a separate allegation true. Its more limited value is that criminal scrutiny of judicial office in a hotel-control dispute is a legally cognisable reporting subject and follows a route distinct from CGPJ discipline. Serious analysis must then return immediately to each case's own evidence.
Guilt by proximity
No same judge, same parties, shared mechanism, common network or institutional pattern is asserted. No verified overlap supports such a conclusion.
A testing method
Reconstruct knowledge, jurisdiction, available remedy, decision or omission, legal explanation and patrimonial effect before applying a criminal label.
Losing is not prevaricación
Even intense disagreement is insufficient where a resolution remains within a legally defensible interpretation. Criminal injustice and the mental element require their own proof.
Act-knowledge-remedy-effect matrix
The allegation must survive node by node, not through rhetorical accumulation.
This matrix summarises the public record. Every row also identifies missing evidence: a gap is not converted into intent.
| Node | Knowledge or record | Remedy to test | Decision / effect under examination | Evidence state |
|---|---|---|---|---|
| 16 APR 2018 Scope | The order concerned LPB; the public record says it did not grant CAM possession of the hotel. | Preserve LPB assets without radiating authority over CEXP, Matkator or third parties. | How did security or maintenance become wider material control? | Legal scope identified; original instructions and execution map remain missing. |
| 7 JUN 2018 Material takeover | Contemporary evidence describes broken access, chains, changed cylinders and exclusion; attribution remains evidential, not a judgment. | Urgent protection, access, inspection, preservation and property-by-property delimitation. | Alleged loss of control, operation, evidence and due-diligence capacity. | Material event documented; when and how the court knew must be certified. |
| 13 JUN 2018 Funded exit | Daniel Irigoyen's contemporaneous report describes meetings with judge and administrator about funder, company/shareholder, operator and payment or deposit. | Preserve hotel, access and liability picture while the solution was verified. | What useful protection followed while the alternative could still be preserved? | Important contemporary source, not a court minute; diary, filing, service and report are needed. |
| 2018-2019 OB REM | 28 November transaction; later non-validation on 24 October 2019 according to the record. | Registry, material and accounting restoration; recovery of fruits where applicable. | Alleged persistence of advantages into the later global adjudication. | The cancellation, restitution and accounting chain must be published. |
| 2020-2021 Works, access and value | Alleged demolition/restriction, inspection/expert requests and a RIC investor narrative before formal title. | Inspection, expert evidence, preservation, stay and effective competition. | Alleged alteration of condition, value, bidder access and project continuity. | A single certified chronology of request, opposition and decision remains missing. |
| 15 OCT 2021 Contradiction | The public record identifies two orders: one said the auction had occurred and another that it had not. | Clarify the premise before irreversible patrimonial effects. | The contradiction was later treated as cured through the term “bidding appearance”. | Complete certified texts and procedural context are required. |
| 26 JAN-21 FEB 2022 Adjudication and deed | The record says July material was admitted but treated as irrelevant; operative copies, deed and registration followed. | Reconcile debt, value, funded alternative, non-validation and third-party perimeter. | Adjudication to CAM and later CAM-HNT-MYND trajectory. | The result is official; criminal meaning remains an allegation requiring element proof. |
Evidence capable of closing the debate: the complete certified court file; 13 June diary and registry; administrator instructions; applications and decisions on inspection/expert evidence; credit-interest-premises-adjudication-surplus account; OB REM restoration; and a property-possession-use-income map.
Inparsa as a bounded comparator
Different routes to a contested transfer of control.
The value lies in shared questions; the limit is that the facts must never be merged.
| Dimension | Inparsa / Hoteles Beatriz | Sun Park |
|---|---|---|
| Mechanism | Creditor-proposed restructuring plan, debt capitalisation and new financing. | Long insolvency liquidation, contested material control and later adjudication to the creditor. |
| Financial premise | Acceleration after a change of control and resulting insolvency, disputed by Inparsa. | Credit quantification, maximum mortgage liability, interest and surplus remain disputed. |
| Valuation | Enterprise, equity and asset values with competing figures and perimeters. | 2018 valuations, hotel operation, physical change and later project value require reconciliation. |
| Alternative | Inparsa alleged funded full payment; the court's treatment remains contested. | An ONA-led 2018 exit with operator and two finance routes is alleged, subject to conditions and closing. |
| Control effect | Approximately 71% post-restructuring equity for Meru, according to the published judgment. | Alleged material control in 2018; formal insolvency title in 2022; later HNT/MYND succession. |
| Judicial question | Insolvency, value, funded alternative and corporate-law control. | Knowledge, protective jurisdiction, perimeter, evidence, competition and adjudication effect. |
| Criminal route | Press reported provisional TSJC screening; no primary order or later outcome located. | Formal allegations and Fiscalía/CGPJ routes; no merits finding of guilt. |
Spanish Criminal Code · Articles 446-449
Four offences; four different evidential tests.
The record should not be forced into all of them. Classification must follow facts.
Knowingly unjust resolution
Requires: resolution, injustice in the criminal-law sense and knowledge.
Sun Park: the allegation relies on prior knowledge, authority limits, alternatives and a sequence of effects.
Decisive gap: exclude a legally defensible interpretation and prove the knowledge-decision link.
Gross negligence or inexcusable ignorance
Requires: a manifestly unjust resolution caused by that qualified degree of fault.
Sun Park: a possible alternative classification, not a substitute appeal.
Decisive gap: manifest injustice, seriousness of departure and causation.
Unjustified refusal to adjudicate
Requires: a specific matter that had to be decided and refusal without legal cause.
Sun Park: only engaged by identifying application, duty and refusal.
Decisive gap: a general claim of insufficient protection does not suffice.
Malicious delay
Requires: delay caused to secure an illegitimate purpose.
Sun Park: chronology may open the question.
Decisive gap: delay alone does not prove illegitimate purpose.
