A serving director was directly notified: the December 2024 record

Correction and supplement · 13 September 2026 · Orion/RICPE only. The earlier review concentrated on the current board and omitted a material historical connection. BORME names Martin Paul Graham as a director of Portfolio's Spanish operator in the appointment registered on 11 October 2022 and records his cessation on 30 July 2025. Those are registration dates, not invented effective appointment/resignation dates. 11 December 2024 falls within that registered tenure. The notices identify Rafael de Cascante as chair; Graham should not be described as chair on this evidence.

What the notice record establishes

  1. 7 December 2024 — complaint sent to Portfolio. The native sent email raises alleged material omissions in Orion's November memorandum and the RICPE/Sun Park history. The complaint's body also names CNMV, but its actual recipient headers do not establish a CNMV send on that date. Event 0191.
  2. 9 December — three separate CNMV sends. Native messages establish forwarding through information, complaints and whistleblowing routes. A sent message is not proof of receipt, examination or acceptance. Events 0192–0194.
  3. 10 December — direct escalation to Graham. The native sent record independently confirms Gil's request for acknowledgement and the forwarded Orion/CNMV material. His directorship is established separately through BORME, not inferred from his address. Event 0195.
  4. 11 December — reported individual acknowledgement. Gil's supplied WhatsApp transcription attributes to Graham an express statement of awareness, forwarding of a response attributed to the compliance head, and assurance that an email would follow. This is a user-supplied transcription, not an independently acquired native chat export. Event 0196.
  5. 12 December — native institutional acknowledgement. A separately retrieved compliance email, signed by Jaime García-Cruz Carbó, states that the information was received and logged, describes intended review and contact with CNMV or other relevant authorities, and says the informant can be told whether assessment is ongoing or concluded. Its native timestamp and fuller wording remain distinct from the account of the previous day's forwarded message. Event 0197.
  6. 17 January 2025 — renewed notice. A native follow-up again addressed compliance, CNMV routes and Graham. It renewed the allegations and requests; it is not evidence of a further response. Event 0198.
  7. 11 September 2026 — reported institutional progress. Portfolio states that the September material was added to the December 2024 file, reviewed and understood internally, and its content transmitted to CNMV. This response must be acknowledged alongside the outstanding request for reasons, findings and measures.

The distinction that matters: documented transmission; reported personal awareness; independently documented institutional acknowledgement; stated intended review; later reported review/transmission; and a reasoned determination are separate states. These sources do not establish collective board consideration, acceptance of the allegations, criminal knowledge, completed CNMV engagement in December 2024, or causation of loss.

The December complaint is preserved as a dated party allegation. Its historical reference to “article 35” and agreement clauses 3.2/5.4 is not adopted as verified present legal authority. The current duties and remedies analysis separately identifies the applicable legislation, instrument and rulebook.

What should now be explained

Identify the complaint owner and decision-makers from December 2024 onwards; material given to Graham, the board, committees and issuer; dates and scope of any CNMV contact; documented findings and reasons; conflicts and recusals; and handover and preservation of relevant records when Graham ceased office. A former director's departure does not answer what the operator did with a live complaint. These are requests for evidence and accountability, not findings that records were destroyed or duties breached.

ORION RENTAL SOCIMI · GOVERNANCE / MANAGEMENT CONTINUITY · UPDATED 5 SEPTEMBER 2026

Orion Rental SOCIMI: the later corporate node that binds legacy actors to a wider board, manager, investors and market infrastructure.

Updated 12 September 2026: relationships, current disclosures and Portfolio remedies

Orion Rental SOCIMI is relevant to the Sun Park reconstruction because its public corporate structure places two actors already documented in the earlier Sun Park record — Francisco Mario Matos Matas and José Daniel Acosta Matos — inside a later listed-company board, while Orion's management is publicly identified as AGM Canary Asset Management and RIC Capital presents Orion as a RIC-backed investment project.

Temporal firewall. Orion was constituted in June 2023. It therefore cannot be treated as a participant in the 2011–2022 Sun Park events. Nor does board membership, investment, audit, market listing or professional service establish knowledge of, participation in, or responsibility for earlier alleged misconduct. Orion matters here as a later governance, disclosure, due-diligence and reputational-continuity node.

DOCUMENTED CORPORATE LINKS

What actually binds the actors — without inference.

Sun Park record 2011–2022 → FMMM as Community administrator / secretary-administrator and JDAM as 2022 chair / project actor → Orion board from 2024 includes FMMM + JDAM + Enrique Guerra Suárez and a wider group of businesspeople → AGM Canary Asset Management is appointed Orion's attorney and is publicly identified as Orion's manager → RIC Capital presents Orion / Hinojeros III as a RIC investment project → Orion accesses listed-company capital-market infrastructure and new investors.
Official / company self-publication

FMMM

Orion's current governance page identifies Francisco Mario Matos Matas as a board member and also as a board member of AGM Canary Asset Management. Project Sun Rock's earlier primary-source reconstruction separately documents FMMM in the Sun Park Community administration chain through 2011–2022.

Official / company self-publication

José Daniel Acosta Matos

Orion identifies José Daniel Acosta Matos as a board member, president of Grupo Acosta Matos and president of AGM Canary Asset Management. The Sun Park record separately places JDAM as chair of the 4 February 2022 Community meeting and as the project author described in those minutes.

Management bridge

AGM + RIC

BORME records AGM Canary Asset Management as Orion's attorney. RIC Capital's own project page identifies Orion Rental SOCIMI, S.A. as operator and AGM Canary Asset Management, S.L. as management, describing Hinojeros III as a private project intended to materialise RIC investment.

GIL MARER'S EXPRESS ALLEGATION / ANALYTICAL THESIS

“Predatory inclusion”: reputation and resources as a shield and a sword.

Gil Marer's words and thesis: the alleged repeat modus operandi is one of “predatory inclusion”: existing actors, after what Gil alleges was “clandestine non-compliance” accompanied by “chronic deliberate concealment” and “non-disclosure”, bring existing and new individuals and entities into a wider structure and cause their reputation, institutional credibility, capital, network, professional standing, muscle power and resources to be lent to the perimeter. In Gil's formulation, that can turn a new actor — even one not proved to know the underlying history — into a “forced collaborator” and into both a “shield and a sword”, an “illicit shield and an illicit sword”, protecting and advancing what he describes as the whole scheme or “house of cards.”

Attribution boundary. Those expressions are Gil Marer's allegations and analytical language. This page does not state as fact that Orion, its directors, investors, auditors, advisers, Portfolio, Euroclear or any other new participant was coerced, deceived, failed a legal duty, concealed information or knowingly joined an illicit scheme. The proposition is testable only actor by actor and disclosure by disclosure.

Why Orion is probative of the question, not the answer

The significance is structural. Two legacy actors from the Sun Park chronology appear in a later vehicle whose board includes additional established businesspeople and whose management, investment and market architecture extends the network well beyond the original dispute. That makes a finite due-diligence question unavoidable: what was disclosed to whom, when, by whom, and what did each recipient independently verify?

THE DISCLOSURE / DUE-DILIGENCE TEST

The “shield and sword” thesis only survives if the missing disclosure bridges can be proved.

1 · Legacy fact
What history existed?

Identify the exact Sun Park proceedings, complaints, judgments, appeals, ownership disputes, Community records, RIC-related questions and actor-specific allegations that existed before each Orion appointment, investment or market step.

2 · Disclosure
What was actually disclosed?

Board packs, conflicts registers, related-party files, subscription documents, investor memoranda, management contracts, legal opinions, audit correspondence, market disclosures and diligence requests must show the information supplied or omitted.

3 · Knowledge
What did each person know?

FMMM and JDAM must be tested against their own earlier documented roles. Enrique Guerra, Víctor Martí Gilabert and every other director must be assessed separately. Shared board membership cannot substitute for individual knowledge.

4 · Reliance / reputational effect
Was another actor's standing used?

Test whether investors, directors, advisers, auditors, public bodies or market infrastructure were invoked as reassurance, validation or leverage in another transaction or public narrative — and whether they had the material facts necessary to give that reassurance knowingly.

5 · Benefit and causation
What did the inclusion enable?

Trace capital, guarantees, finance, access to RIC, subsidies, contracts, permissions, market admission, publicity and counterparty confidence. A benefit must be linked to the alleged omission rather than inferred from chronology alone.

6 · Innocent alternative
What if the wider board knew nothing?

That possibility remains live. If a new director, investor or provider was not told material background and did not independently know it, the evidence may support Gil's concept of a “forced collaborator” as an unwitting reputational/resource layer — but it would not justify accusing that new actor of intentional wrongdoing.

Repository rule: “predatory inclusion” is not proved by networking density. It requires a sequence: legacy exposure → duty or practical reason to disclose → material omission or misleading presentation → entry of a new actor/resource → reliance or enabling effect → actor-specific benefit/causation. If those bridges are absent, the criminal or dishonest inference must be rejected or reduced.

The new actors are not presumed collaborators.

Orion's board publicly includes Víctor Martí Gilabert, Ángel Medina Padrón, Francisco López González, Anil Partap Harjani, Oscar Díaz Melián, Jesús Díaz Quintana, Manuel Padrón Padrón, Francisco Mario Matos Matas, Enrique Guerra Suárez and José Daniel Acosta Matos. The existence of a common board is a governance fact. It is not evidence that the other directors knew of or endorsed Gil's allegations concerning Sun Park.

That distinction is central to the thesis itself: if “predatory inclusion” occurred, some later participants may be relevant precisely because their reputation or resources were allegedly recruited without full disclosure. Their board packs, conflict checks and diligence records are therefore potentially exculpatory as well as probative.

Right of reply and correction. Orion Rental SOCIMI, AGM Canary Asset Management, RIC Capital, every director, investor, auditor, adviser, Portfolio, Euroclear and every person or entity mentioned may provide corrections, contrary evidence or exculpatory documents. Silence is not admission.

PUBLIC CONTROL SOURCES

Sources used to fix the corporate facts.

External self-publication and registry records establish corporate facts within their scope. They do not adjudicate the Sun Park allegations. Project Sun Rock's earlier pages remain responsible for the underlying Sun Park record and its own evidential boundaries.

13 September 2026: reviewed notice records reconciled

The seven colliding historical event labels have been reconciled without renumbering or replacing the existing canonical events. The eight reviewed records now use PD-SP-EVT-0191–0198 in the historical notice supplement above and the canonical institutional register. The supplement distinguishes native email records from the supplied 11 December 2024 WhatsApp transcription. The remaining unresolved event and source labels are still withheld from this public projection; their historical source is preserved. This reconciliation does not establish a decision on the underlying allegations or completed contact with an authority.

Sun Park/MYND and Orion: distinct but interconnected branches.

Sun Park/MYND and Orion are distinct but interconnected branches. The documented RICPE, AGM, Pamalexsha and Acosta Matos links remain within one analysis; neither a Sun Park-to-Orion asset flow nor any actor’s knowledge or liability follows automatically. The FMMM inquiry is preserved but is not the exclusive connection.

12 SEPT 2026 · ORION / RICPE / PROFESSIONAL RELATIONSHIPS

Professional relationships, financing and requested compliance remedies

Current disclosure and relationship review. The 30 June 2026 Issue Document records the RICPE loan (€6,385,844 drawn at year-end 2025; €8.5m limit) and 277 homes/seven buildings after selling 38 homes/two buildings. The 23 July 2026 issuer announcement reports 1,865,672 shares fully subscribed and paid at €1.34 (€2,500,000.48); registration and trading admission remain separate checks. Reconcile the differing first-tranche counts in §§1.9 and 1.10 of the June document.

Portfolio is asked to review Guerra’s dated PwC/A&G/RICPE/Orion history, Acosta Matos and management/construction relationships, all relevant Cajasiete interests and engagements, and the San Telmo/RSM and Cuyás/Grant Thornton professional chains. Review the original 7 November 2024 disclosure and later versions for material omissions or inaccuracies; consider a dated supplement/consolidated restatement and Portfolio’s own market notice where warranted. This broader materiality inquiry is not limited to Francisco Mario Matos Matas, and does not presume a transfer of Sun Park value to Orion.

11 September response: Portfolio now states that it incorporated the four 7 September documents, reviewed and understood the material and submitted content internally and to CNMV. Findings, transmission particulars, board decisions and remedies remain open.

Evidence boundary: relationships require investigation; they do not establish collective knowledge, conflict breach or guilt. Documented replies and corrections are welcome through the contact route.

One alleged mechanism, distinct actors and rights

Gil Marer alleges criminal falsification and use of Community records, manufactured authority and debt-based voting restrictions, with later reliance in the insolvency, Ayuntamiento de Yaiza, Cabildo de Lanzarote, investment and public-funding settings. He asks Portfolio to investigate the FMMM/Cogolludo/Pamalexsha relationships and later Acosta Matos/RICPE/Orion adoption as a continuing mechanism. That allegation remains explicit. Each document needs an author, date, exact falsity, recipient, notice, verification, reliance, consequence and contrary record. Shared actors do not merge legal entities or prove collective knowledge; no Sun Park-to-Orion value transfer has been established.

PwC in 2016: prior work, criminal instructions and actual AC contact

The controlled correspondence supports substantial Landwell/PwC Canarias work affecting the wider Sun Park/Aweswell project perimeter; Matkator billing alone does not define all matters known to Carlos Saavedra’s team. Exact contractual clients and privilege holders still require the engagement and acceptance records.

The client’s June/July criminal-route instructions, Miguel’s 20 July acknowledgement with Carlos copied, and PwC’s 12 September confirmation of a general telephone conversation with the insolvency administrator are separate evidence. That reply does not verify Gil’s account that PwC told the administrator the entire matter was criminal or identify the alleged targets. Ask for the speaker, date, contemporaneous record, precise words and response. Do not substitute advice from another lawyer or the recorded Community meeting for this missing proof.

The working meeting’s controlled date is 10 June 2016; “11JUN2016” is a preserved derivative label. Direct-delivery provenance is confirmed within the client’s stated scope. Two located AMRs total about 126m36s, while the derivative states 144 minutes; full technical authentication, speaker/context checking and alignment remain open. The detailed debt/vote/court-use explanations to FMMM and Prieto are material notice evidence; their exact criminal significance requires subsequent acts and the contrary audit/settlement explanation. Neither Cogolludo nor the AC is established as present by that recording.

Grant Thornton also appears in Portfolio’s own audit register

CNMV identifies Grant Thornton, S.L.P.U. for Portfolio’s 2024 and 2025 audits, and BDO Auditores, S.L.P. for 2023. Ask for the exact firm, audit partner/team, other services, independence assessment and actual information received. Its separate Cuyás/Borja connections must be tested through dated roles and file access; a common network name does not establish that the Portfolio audit team knew Sun Park or approved a disputed transaction.

All relevant Cajasiete engagements belong in the professional review: PwC, RSM, Grant Thornton and the relevant predecessor/local firms should be mapped by exact client and legal entity, period, asset, service, fees/referrals, conflict checks, consent/barriers and actual notice. No unlocated engagement is presumed. Portfolio should explain how any relationship affects the independence of its own review.

Cajasiete, locales, OB REM and refurbishment

Gil alleges that Cajasiete financing enabled or sustained the Acosta Matos project position, including the Sun Park locales. The controlled record identifies 3 October 2023 mortgage charges; a complete borrower, facility, drawdown, purpose and finca schedule remains required. This does not yet prove bank financing of the original 2018 acquisition.

Trace the 28 November 2018 EUR400,000 transaction → 24 October 2019 refusal of convalidation → actual restitution/accounting → 2021 better-offer process and approvals → 2022 title → later collateral, works and cash flows. Preserve the 18 May 2021 approval and 15 October appeal dismissal as contrary evidence. Non-convalidation is not proof of completed reversal or automatic invalidity of the 2022 title. OB REM is the property linkage; obra is construction. Match each work, invoice and payment to bank credit, RIC, incentives and any EU cofinancing; mortgage liability is not cash advanced.

CaixaBank Valencia: what recovery could change

The latest controlled court direction fixes 28 January 2027 at 10:00 for ORD 1859/2023-9, NIG 4625042120230049579. The earlier October 2026 date and other NIG are superseded. Aweswell invokes creditor standing in LPB’s estate interest; standing, liability and quantum are contested. EUR1,124,445.84 is a provisional claim amount, not awarded cash or a universal damages cap.

A settlement or favourable judgment could reduce a properly matched net loss, alter the banking position or supply findings relevant to an available later remedy. It does not automatically return the hotel, reverse calificación, invalidate later title or establish liability of Cajasiete or Portfolio. A negative result must retain its actual scope. Identify the rights-holder, estate beneficiary, authority, release, costs, payment and accounting before counting recovery. The current hearing status is a controlled-document position, not a live court certificate.

Version control: compare the original November 2024 Orion memorandum, June 2026 update and later communications. The located historical RICPE brochure is dated 4 June 2020; the exact “2024 RICPE” edition requested by Gil remains to be authenticated. Corrective republication, accounting restatement, investor compensation and property recovery are different remedies.
