INSOLVENCY 36/2012 · 2021 ALERT → IMPLEMENTATION → CONSEQUENCES

From alert to irreversibility.

This map does not treat a later consequence as proof of earlier judicial knowledge or intent. It separates three planes: what was communicated, what insolvency treatment can be identified, and what happened later. The institutional question is what control broke — or lawfully explained — the chain before title, Registry effects, works, finance and operation made reversal materially harder.

Central limit. The 2021 RICPE material reached the proceeding, was opposed by CAM and the Insolvency Administration, and was later acknowledged as admitted but treated as irrelevant in January 2022. The question is therefore not “the judge never saw the alert”, but what substantive treatment it received as a title, estate-protection, anticipatory-commercialisation and supervision issue.

1 · Central spine: alert → opposition → decision → title

WHAT WAS KNOWN / REPORTED
Pre-existing risk

Material-control events, fragmented ownership, LPB ≠ the whole of Sun Park and the 24 Oct 2019 non-validation order.

→
Investor narrative before definitive LPB title

Sun Park appears in the RICPE/Acosta Matos perimeter before the 2022 LPB deed.

→
⚠ DOCUMENTED ALERT

RICPE, fragmented title, third-party units, alleged anticipatory commercialisation and estate risk.

WHAT THE INSOLVENCY SYSTEM DID
Material before the judge

The court office joined the filings and placed the record for possible consideration when deciding.

→
Two incompatible descriptions

One order describes an auction/award; the other says the licitation did not even occur and was not an auction.

→
DECISIONAL FORK

The contradiction is acknowledged/reframed as a “licitation appearance”. The July documents are confirmed admitted but treated as irrelevant.

→
26 JAN · reframing→8 FEB · CAM seeks testimonies→14 FEB · LAJ issues them→16 FEB · challenge→21 FEB · deed→20 APR · Registry→26 APR · later challenge decision
WHAT HAPPENED LATER · CONSEQUENCE ≠ HISTORICAL JUDICIAL KNOWLEDGE
Title / Registry

The outcome acquires a legal and registral form materially harder to reverse.

⇢
Refurbishment / operation

The asset is transformed and operated as an integrated hotel within the later perimeter.

⇢
Capital / incentives

RIC/RICPE, Series F/G, regional incentives and the identified FEDER connection create later reliance and traceability layers.

2 · Controls that should be identifiable

Absence from Por Derecho's corpus is not proof of non-existence. Each gate ends in a finite production question.

?

Title and perimeter

What act reconciled 54 CAM properties, 190 LPB properties and 18 third-party properties with the exact object of the award and later integrated operation?

?

Specific IA report

What report or requirement addressed anticipatory commercialisation, private units, control, works and risk to the estate?

?

2019 → 2021

What restitution, rectification, accounting, reservation or new title implemented the 24 Oct 2019 non-validation, including the €400,000 treatment?

?

Physical condition

If expert/judicial inspection was refused, what neutral equivalent informed the actual condition before liquidation continued?

?

Material competition

What complete file compares timing, access, data room, solvency, deposits, perimeter and heterogeneous consideration?

?

Final implementation

What continuous chain links order → LAJ/testimony → finality → deed → cancellation → Registry → accounts/surplus?

3 · Five consequence lanes, each with an evidential ceiling

CAPITAL / RICPE

Earlier narrative → later title → finance

CGPJ relevance lies in the alert that entered the insolvency and the later consequence. Later title does not by itself determine whether earlier representations were lawful or unlawful.

RIC · SERIES F/G

Idoneidad and use of funds

Series F (€1,598,849.32) and G (€4,974,853.78) are separately identified. The exact scope of Decree 224/2022 / AEAT report and Series F timing/use remain documentary questions.

REGIONAL INCENTIVE / FEDER

Later public reliance

GC/836/P06, investment, subsidy, employment and the identified FEDER connection require file-based reconciliation. They are not shown as historical judicial knowledge or automatic proof of double financing.

ASSET / OPERATION

Physical and economic irreversibility

Access/control → verification requests → title → works → opening → MYND/HNT operation. Each stage can raise the material cost of correcting an earlier error.

SUPERVISION

IA and judge

The question is what the IA knew, reported and verified, what the Court required, and what alternative control existed. IA knowledge is not automatically attributed to the judge.

CGPJ

Separated competence

This map does not ask the CGPJ to recalculate debt, annul title or declare crime. It separates jurisdictional merits, discipline, functioning/Inspection and LAJ/court-office matters.

4 · Extra-insolvency test: LPB inside; Matkator and third parties outside

INSIDE THE INSOLVENCY

LPB · insolvency estate

The proceeding could protect, administer and liquidate LPB assets and rights under the applicable law and orders.

OUTSIDE LPB'S ESTATE

Matkator · third parties · independent rights

Physical proximity, community majority, security, keys or integrated hotel operation do not substitute the independent title required for each right.

Visual question: what legal bridge authorised each practical effect outside LPB — access, works, use, revenue or operational integration — and who verified it? Open perimeter evidence →

5 · Do not label “non-compliance”: compare prior architecture with implementation

The table forces production of the act authorising any difference. “Needs reconciliation” does not mean “illegal”.

Question: if implementation departed from prior architecture, what judicial or procedural act authorised the difference, and on what information?

6 · What could confirm, narrow or defeat this interpretation

Contemporaneous reconciliation

A judicial decision/report expressly addressing the RICPE/title/perimeter issue before transfer.

Specific IA report

A complete report verifying commercialisation, third parties, condition, works, value and estate risk.

Matkator/third-party bridge

Individual titles, consents or decisions explaining each effect outside LPB.

2019 implementation

Complete restitution, rectification, accounting or new-title chain after non-validation.

Complete competition file

Access, data room, offers, deposits, solvency, timing and comparative methodology explaining the result.

Complete public-funds files

RIC/idoneidad, regional incentive and FEDER records showing independent verification and, if so, no overlap or improper reliance.

THE RESULT DOES NOT ANSWER THE ORIGIN

Consolidated title, physical transformation, capital/incentives and integrated operation are later consequences. They do not by themselves prove either legitimacy or illegitimacy of each earlier step.

Final supervision question: before those consequences became difficult to reverse, what independent control reconciled the alert, the ownership perimeter, the IA position, the Court's own earlier decisions and the transaction ultimately implemented?
