Issue Document: Portfolio/CNMV did not substantively approve/verify content; Portfolio checked required information completion.
Correction and supplement · 13 September 2026 · Orion/RICPE only. The earlier review concentrated on the current board and omitted a material historical connection. BORME names Martin Paul Graham as a director of Portfolio's Spanish operator in the appointment registered on 11 October 2022 and records his cessation on 30 July 2025. Those are registration dates, not invented effective appointment/resignation dates. 11 December 2024 falls within that registered tenure. The notices identify Rafael de Cascante as chair; Graham should not be described as chair on this evidence.
The distinction that matters: documented transmission; reported personal awareness; independently documented institutional acknowledgement; stated intended review; later reported review/transmission; and a reasoned determination are separate states. These sources do not establish collective board consideration, acceptance of the allegations, criminal knowledge, completed CNMV engagement in December 2024, or causation of loss.
The December complaint is preserved as a dated party allegation. Its historical reference to “article 35” and agreement clauses 3.2/5.4 is not adopted as verified present legal authority. The current duties and remedies analysis separately identifies the applicable legislation, instrument and rulebook.
Identify the complaint owner and decision-makers from December 2024 onwards; material given to Graham, the board, committees and issuer; dates and scope of any CNMV contact; documented findings and reasons; conflicts and recusals; and handover and preservation of relevant records when Graham ceased office. A former director's departure does not answer what the operator did with a live complaint. These are requests for evidence and accountability, not findings that records were destroyed or duties breached.

Updated 12 September 2026: relationships, current disclosures and Portfolio remedies
The Issue Document limits Portfolio’s ex-ante role. Afterwards, Portfolio confirmed an internal investigation, data collection, examination of different sources and a completed assessment.
Issue Document: Portfolio/CNMV did not substantively approve/verify content; Portfolio checked required information completion.
Portfolio logs the alert and says it will review relevance/validity, stating it would engage CNMV or other relevant authorities.
Portfolio confirms an internal investigation, about three months of analysis, data collection and examination of different sources.
It says the assessment concluded and could be extended on new evidence.
Portfolio cannot be described only as a market that “did not verify the prospectus”.
That ex-ante limit exists. The later material investigation phase is also documented.
Historical questions from the 2024–2025 record; see the dated update below for subsequent answers and remaining gaps.
Control: stated intention to engage authorities is not proof actual engagement occurred; the log remains missing evidence.
CNMV received 2024136159 and said that although it was not admissible as a consumer “complaint”, it would be processed as a consultation. Notification 2024174266 must be integrated.
12 SEPT 2026 · ORION / RICPE / PROFESSIONAL RELATIONSHIPS
Requested outcome: Portfolio compliance should acknowledge the complete relationship and engagement perimeter, investigate it independently, give a reasoned answer on each material issue, and determine the issuer corrections and market communications required. This is Gil Marer/Aweswell Limited's position. It is not a finding that every named actor has breached a duty.
Criminal-first context — attributed allegation. Gil Marer/Aweswell allege an organised, coordinated and continuing Sun Park mechanism involving disputed Community authority, debt, procedural use, control of assets and later financing and institutional legitimacy. They seek preservation, investigation and recovery of individually established harm. The analysis must test each person's act, capacity, knowledge, intent where required, benefit and causal contribution. Civil invalidity does not establish an offence; a professional connection does not establish participation.
NOTICE / institutional statements. In its response reviewed for this update, Portfolio confirms receipt of the four documents sent on 7 September, incorporation into the file opened in December 2024, submission of the content to relevant internal functions and to CNMV, and review and understanding of the supplied material. It also states that relevant data will be retained for the investigation and possible liabilities. This supersedes the older open question earlier on this page about whether Portfolio had reported any actual CNMV contact.
Still open: the onward transmission date, precise package and CNMV receipt/reference; who received it internally; the findings on each allegation; any formal reopening or board decision; and the remedy selected. Portfolio's statement of onward submission is not independent proof of CNMV's receipt or adoption. CNMV's separate 8 September acknowledgment of the 20 August communication, reference 11823, does not close those gaps.

|---|---|---|
| Enrique Guerra Suárez · RICPE / Orion / PwC | RICPE’s current biography records Coopers & Lybrand, partnership at Montero y Asociados, his own practice and former PwC Off Counsel work; it now identifies him with the general management of both RICPE and Orion. RICPE publications dated 10 February 2021 and 13 May 2022 describe PwC advice/Off Counsel alongside RICPE roles. These are attributed corporate publications, not the engagement contracts. | Exact PwC legal entity, start/end dates, client, mandate, fees, independence approvals and any overlap with RICPE/Orion decisions. Do not impute Carlos Saavedra’s 2016 knowledge to Guerra or conversely. |
| A&G history · alleged Borja–Guerra partnership | RICPE’s history distinguishes its SCR from the older A&G housing vehicle and calls A&G Asesores Legales, Financieros y Tributarios, S.L. the promoter-services line, currently named Orión Corporate Management. The repository carries an archived-CV proposition that Borja was an associate at A&G Asesores in 2009–2010; the primary CV remains to be recovered. | Identify the exact firm, partner/shareholder or associate status, dates of overlap and actual joint matters. The claimed direct partnership is NOT ESTABLISHED. The spoken “AMG” label is unresolved; A&G Asesores, A&G Capital, AGM Canary Asset Management, S.L. and Orión Corporate Management must not be merged by their initials. |
| RICPE · Acosta Matos · Orion | The dated CNMV register records Guerra as secretary and José Acosta Matos as director in 2019. Orion’s 30 June 2026 Issue Document records related-party financing and management/construction relationships. RICPE’s current portfolio identifies both MYND Yaiza and Orion as financed projects. | Trace each legal person, loan, shareholder interest, guarantee, construction/management payment, decision and conflict safeguard. These are distinct project branches; a Sun Park-to-Orion transfer, shared collateral or duplicated funding requires its own transaction evidence. |
| San Telmo · Eduardo Sánchez Iglesias · Borja · RSM | The 30 November 2021 source dossier records Eduardo’s client-introduction statement in his interview with Guerra. The separate Sun Park project connection and any client allocation must be sourced separately. RSM’s announcement names Eduardo Sánchez Iglesias, Javier Rodríguez-Batllori Laffitte and Javier de Bethencourt Gallego in the 2024 integration. Javier is not Francisco de Borja. | Reconstruct Borja’s historical San Telmo professional/economic interest, referral mandates, remuneration, conflict checks, client/project allocation and any inherited files. The earlier 11 November 2020 RICPE event is separate. Integration does not itself establish a statutory merger, information transfer or retrospective RSM liability. |
| Borja · Cuyás / Grant Thornton | Cuyás’s own website names Borja Rodríguez-Batllori Laffitte among its incorporated lawyers in the Grant Thornton Canarias context. Grant Thornton Spain’s own event publication names him in legal-team training activity. | Confirm date-specific legal entity, contractual status, mandates, files and conflict handling. The publications support a professional connection; they do not establish involvement by Grant Thornton in every earlier insolvency act or any Cajasiete engagement. |
| Cajasiete · Acosta Matos perimeter · Orion | Orion’s issue documents disclose Cajasiete’s 500,000 shares / 5% at their stated capital dates. The original valuation annex describes a right to attend board meetings with voice but without vote. Cajasiete’s 2024 non-financial report records an Orion event and conflict-control architecture. The financing dossier preserves the separate property-charge and complaint-handling questions. | Obtain the complete in-scope engagement register: borrower, lender, collateral, purpose, valuation, beneficial ownership, credit approvers, fees, referrals, shareholding, board access, related-party links and post-notice safeguards. Reconcile 2018, 2022 and 2023 transactions separately. Historical 5% is not automatically the percentage after the 2026 capital increase. |
HIP / OPEN. The requested investigation should test both directions: whether bank finance, security acceptance, investment or public association enabled the relevant project/perimeter; and whether the counterparties’ representations, collateral, payments, business referrals or commercial dependence affected the bank’s decisions or later review. The further hypothesis is that reciprocal exposure could create incentives for each side to leave the other’s deficiencies uncorrected. This is a falsifiable hypothesis, not an established reciprocal breach, concealment agreement or quid pro quo.
Test it against facility and security deeds, drawdowns and repayments, source-and-use ledgers, valuation assumptions, mandates and invoices, conflicts registers, recusals, approval minutes and documented handling after notice. Include all relevant engagements involving Cajasiete and the named professional perimeters, recording “not identified in the reviewed sources” where appropriate. No such engagement is inferred merely because firms or people appear in the same network. Legitimate recovery or financing discussions must remain independent of complaint withdrawal or disclosure decisions.
Portfolio Rulebook §§5.2.2(l), 5.2.5–5.2.7 support the issue-document, disclosure and disciplinary framework described here. The Market Participants Department may propose disciplinary measures to the Board; board measures are communicated to CNMV. The precise legal basis and threshold must be stated for each remedy. A statutory prospectus withdrawal/refund right is not assumed merely because a document is called an information memorandum.
The June 2026 Issue Document records €6,385,844 drawn on the RICPE loan at year-end 2025 against an €8.5m limit, and 277 homes in seven buildings after disposal of 38 homes in two buildings. The issuer’s investor documents include the 23 July 2026 announcement of 1,865,672 shares fully subscribed and paid at €1.34 (€2,500,000.48). Registration and admission of the new shares are separate verification steps. The June document’s §1.9 uses 3,358,210 as the first-tranche share count, whereas §1.10 identifies 1,865,672 for that tranche; Portfolio should reconcile this apparent internal inconsistency.
Contrary evidence and fair response. Preserve the original disclosures, existing conflict/abstention statements, the issuer’s audit opinions, the 2025 completed assessment and subsequent positive acknowledgments. None is a universal clearance, and none should be omitted to strengthen the complaint. A claim that Orion itself had no proceedings must be tested against its exact wording and legal-person scope, not automatically contradicted by complaints concerning other people. The parties may provide corrections and contrary records through the published contact route; supported corrections should receive equivalent prominence.
Gil Marer alleges criminal falsification and use of Community records, manufactured authority and debt-based voting restrictions, with later reliance in the insolvency, Ayuntamiento de Yaiza, Cabildo de Lanzarote, investment and public-funding settings. He asks Portfolio to investigate the FMMM/Cogolludo/Pamalexsha relationships and later Acosta Matos/RICPE/Orion adoption as a continuing mechanism. That allegation remains explicit. Each document needs an author, date, exact falsity, recipient, notice, verification, reliance, consequence and contrary record. Shared actors do not merge legal entities or prove collective knowledge; no Sun Park-to-Orion value transfer has been established.
The controlled correspondence supports substantial Landwell/PwC Canarias work affecting the wider Sun Park/Aweswell project perimeter; Matkator billing alone does not define all matters known to Carlos Saavedra’s team. Exact contractual clients and privilege holders still require the engagement and acceptance records.
The client’s June/July criminal-route instructions, Miguel’s 20 July acknowledgement with Carlos copied, and PwC’s 12 September confirmation of a general telephone conversation with the insolvency administrator are separate evidence. That reply does not verify Gil’s account that PwC told the administrator the entire matter was criminal or identify the alleged targets. Ask for the speaker, date, contemporaneous record, precise words and response. Do not substitute advice from another lawyer or the recorded Community meeting for this missing proof.
The working meeting’s controlled date is 10 June 2016; “11JUN2016” is a preserved derivative label. Direct-delivery provenance is confirmed within the client’s stated scope. Two located AMRs total about 126m36s, while the derivative states 144 minutes; full technical authentication, speaker/context checking and alignment remain open. The detailed debt/vote/court-use explanations to FMMM and Prieto are material notice evidence; their exact criminal significance requires subsequent acts and the contrary audit/settlement explanation. Neither Cogolludo nor the AC is established as present by that recording.
CNMV identifies Grant Thornton, S.L.P.U. for Portfolio’s 2024 and 2025 audits, and BDO Auditores, S.L.P. for 2023. Ask for the exact firm, audit partner/team, other services, independence assessment and actual information received. Its separate Cuyás/Borja connections must be tested through dated roles and file access; a common network name does not establish that the Portfolio audit team knew Sun Park or approved a disputed transaction.
All relevant Cajasiete engagements belong in the professional review: PwC, RSM, Grant Thornton and the relevant predecessor/local firms should be mapped by exact client and legal entity, period, asset, service, fees/referrals, conflict checks, consent/barriers and actual notice. No unlocated engagement is presumed. Portfolio should explain how any relationship affects the independence of its own review.
Gil alleges that Cajasiete financing enabled or sustained the Acosta Matos project position, including the Sun Park locales. The controlled record identifies 3 October 2023 mortgage charges; a complete borrower, facility, drawdown, purpose and finca schedule remains required. This does not yet prove bank financing of the original 2018 acquisition.
Trace the 28 November 2018 EUR400,000 transaction → 24 October 2019 refusal of convalidation → actual restitution/accounting → 2021 better-offer process and approvals → 2022 title → later collateral, works and cash flows. Preserve the 18 May 2021 approval and 15 October appeal dismissal as contrary evidence. Non-convalidation is not proof of completed reversal or automatic invalidity of the 2022 title. OB REM is the property linkage; obra is construction. Match each work, invoice and payment to bank credit, RIC, incentives and any EU cofinancing; mortgage liability is not cash advanced.
The latest controlled court direction fixes 28 January 2027 at 10:00 for ORD 1859/2023-9, NIG 4625042120230049579. The earlier October 2026 date and other NIG are superseded. Aweswell invokes creditor standing in LPB’s estate interest; standing, liability and quantum are contested. EUR1,124,445.84 is a provisional claim amount, not awarded cash or a universal damages cap.
A settlement or favourable judgment could reduce a properly matched net loss, alter the banking position or supply findings relevant to an available later remedy. It does not automatically return the hotel, reverse calificación, invalidate later title or establish liability of Cajasiete or Portfolio. A negative result must retain its actual scope. Identify the rights-holder, estate beneficiary, authority, release, costs, payment and accounting before counting recovery. The current hearing status is a controlled-document position, not a live court certificate.
Portfolio’s public-information responsibilities extend beyond its contracts. Law 6/2023, articles 68–71, distinguishes operation/public information from the holders’ compensation route. A separate claim for Aweswell’s or another rights-holder’s own injury needs an independent basis, causation and loss; unfair-competition rectification/cessation may be relevant where its market-conduct and standing tests are met. A conviction is not needed to check an error or material omission.
UK finding: HMRC’s July 2026 table recognises Portfolio for tax purposes but classifies its entire market as “Not listed”. This is not FCA authorisation. Current official board/shareholder records did not establish the asserted UK-resident director or controlling shareholder; minority holdings and beneficial ownership remain incompletely identified. UK-directed promotion, actual decision-making or professional conduct requires specific proof and legal analysis.
Portfolio should assess the alleged legitimacy effect through actual communications: who spoke, what was represented, to whom, after what warning, who relied, and what changed. Its own reasoned notice under rule 5.2.7(b), where the conditions are met, can accompany a dated issuer correction and consolidated memorandum. Earlier versions, contrary findings and rights of reply must remain visible.
Version control: compare the original November 2024 Orion memorandum, June 2026 update and later communications. The located historical RICPE brochure is dated 4 June 2020; the exact “2024 RICPE” edition requested by Gil remains to be authenticated. Corrective republication, accounting restatement, investor compensation and property recovery are different remedies.
Read the open letter to Portfolio’s board and compliance, the verified director/shareholder and international-nexus review, and the expanded alternative disclosure memorandum. The dated comparison separates existing disclosures, the 2020–2021 title/diligence tension, San Telmo client introductions, attributed criminal allegations, financing and unresolved proof.
