CONCURSO 36/2012 · PATRIMONIAL COVERAGE · RESCUE RECORD · UK ACCOUNTS · PUBLIC-AUTHORITY LIABILITY

The record shows value. The claimed necessity of liquidation still requires a complete explanation.

The strongest defensible position is not that one positive balance sheet automatically erased every possible cash-flow insolvency. It is that the available concurso figures repeatedly showed substantial asset coverage; the productive unit retained material commercial value; a 100% creditor-payment proposal was filed; rescue financing was pursued; and a later independent ECO valuation placed the hotel at €25.647 million. That record materially contradicts any undifferentiated story of economic extinction, inevitable liquidation or abandonment.

Offensive evidential proposition

Once the file itself records substantial value and identifiable value-preserving alternatives, the word “insolvency” cannot do all the work. The record must explain, actor by actor, why each rescue route failed, who controlled the conditions needed to implement it, why liquidation was selected, how the productive unit was valued, and where the resulting value, income and benefit went.

Legal boundary

Historical Spanish insolvency law centred actual insolvency on regular ability to meet enforceable obligations. Positive net assets and a liquidity crisis can coexist. This page therefore distinguishes patrimonial coverage, cash-flow insolvency and necessity of liquidation.

THE NUMERIC CORE

Four concurso snapshots reproduced in the 20 April 2026 accounting annex

The following figures are the asset-and-liability figures presently extracted from the group’s board annex, which identifies the underlying AC report, orders and definitive texts. They are presented as a controlled reconstruction pending permanent public links to each complete certified primary document.

The evidential consequence is not “there could never have been insolvency.”

It is that structural insolvency, economic worthlessness and the inevitability of liquidation cannot be presumed from the existence of Concurso 36/2012. They require a date-specific liquidity analysis and a documented explanation of why the substantial recorded value could not be used through a convenio, refinancing, controlled sale, productive-unit solution or other creditor-protective exit.

THREE QUESTIONS — NOT ONE

Patrimonial solvency, cash-flow insolvency and liquidation necessity must be tested separately

1. Patrimonial coverage

Did assets exceed liabilities on the relevant dates? The reconstructed concurso figures repeatedly say yes, by approximately €7.28m to €11.42m.

Strongly supported

2. Cash-flow insolvency

Could LPB regularly meet obligations as they fell due, taking account of cash, pledges, enforceability, disputed debt, collectible income and immediately available finance?

Date-specific audit required

3. Necessity of liquidation

Even if a liquidity event justified protective filing in 2012, was liquidation later necessary once asset values, exit proposals, operating income, creditor treatment and financing alternatives were known?

Must be explained

THE VALUE-PRESERVING EXIT RECORD

The file contains more than a retrospective assertion of solvency

27 April 2017

A convenio proposal was filed by LexNET. It proposed payment of 100% of recognised ordinary and subordinated credits, without haircut, after a one-year wait, with an Aweswell first-demand guarantee.

Proves a filed proposal. It does not prove creditor approval, unconditional cash availability or implementation.

2017–2018 financing work

Contemporaneous email chains show repeated approaches to advisers, financiers and counsel, including packages containing valuations, title material, trading records and exit proposals.

Relevant to conduct, good faith and alternatives. Each proposal must be graded by conditions, commitment and availability.

12 June 2018

A formal offer contemplated a mortgage loan of up to €15.5 million to cancel or assume concurso debt and support the hotel plan.

The offer was materially conditional on court approval, due diligence, financing documents, valuations, guarantees and committee approval.

7 June 2018

Gesvalt issued an ECO mortgage valuation of €25,647,179.50 for the hotel perimeter described in the report.

A valuation is not cash, and its perimeter/date must be reconciled with LPB’s estate. It is nevertheless inconsistent with a simple zero-value or abandoned-asset narrative.

The central offensive question:

If the recognised creditors could be proposed for payment in full, material asset coverage was repeatedly recorded, an independent ECO valuation exceeded €25m, and rescue funding was being pursued immediately before the June 2018 rupture, who decided that liquidation was the only lawful or creditor-protective route, on what complete information, and after rejecting or neutralising which alternatives?

THE UK PARENT-LEVEL ACCOUNTS

£1 is a prudential placeholder. It is not a finding that the Spanish interests were worth £1.

Companies House records that Aweswell Limited filed “Total exemption full accounts made up to 31 July 2025” on 17 May 2026. The filed document is bilingual and contains the directors’ extensive explanation of the group, the constrained Spanish reporting environment, the continuing recovery position and the intended cross-border use. Companies House publishes filed information but does not verify its accuracy.

£1symbolic carrying amount

Prudential, provisional and non-valuation-based under the directors’ stated approach.

≠
€0economic value or damages ceiling

The filing expressly says it does not cap fair value, recovery, restitution, income or damages.

Compliance and continuity

The filing maintains a current UK statutory record for the parent and records that the group, subsidiaries, funding role and recovery position continue to exist.

Accounting bridge

It provides a parent-level, qualified record while complete LPB, Matkator and operating-perimeter allocation remains constrained or inaccessible.

Non-abandonment

It records Aweswell’s position as parent, sole shareholder, asserted creditor, funder, foreign investor and recovery principal rather than a passive or disengaged shareholder.

Prudence

It does not recognise disputed damages, public-authority compensation or recovery claims as ordinary assets before recognition criteria are met.

Cross-border traceability

The English filing and authorised Spanish translation are intended for use before Spanish courts, registries, tax and administrative bodies without asking Companies House to determine Spanish disputes.

Strict limits

It is not an audit, not a Companies House validation, not a substitute for LPB’s Spanish accounts, not Land Registry title and not a retroactive cure of any Spanish filing obligation.

Internal consistency work still required.

The filed English text refers to court failure preventing ordinary LPB submission; the Spanish cross-border section attributes historic non-filing to inaction by the insolvency administrator. The exact allocation of power, duty, access and obstruction must be resolved from the declaration order, later orders, requests, replies and registry record before either formulation is presented as finally verified.

The filing also contains broad references to 262 title-registered units, while the board annex describes a completed acquisition of approximately 77.593% and a disputed or uncompleted approximately 22.407% perimeter. “Whole hotel” must therefore be classified as physical complex, productive unit, intended transaction perimeter, operating perimeter or registered-title perimeter — never left undefined.

PROTECTIVE USE IN THE CALIFICACIÓN

The accounts are evidence architecture, not a substitute appellate judgment

The calificación judgment is materially adverse at first instance and remains under appeal. The UK filing should be used to organise and preserve the underlying primary record, not to suggest that Companies House has reversed the Spanish judgment.

ONE PRODUCTIVE UNIT · THREE RECOVERY PERIMETERS

The accounting record must show harm inside the concurso, outside it and through public-service failures

Inside Concurso 36/2012

Active estate, recognised creditors, disputed creditor balances, valuation, productive-unit treatment, exit routes, adjudication, surplus, rendering of accounts, income and recoverable claims for the estate.

Outside the concurso

Aweswell as parent/creditor/funder/foreign investor; Matkator’s separate units; CEXP/Explotadora economics; the UK-facing platform; goodwill; financing; business interruption and non-estate patrimonial harm.

Public-authority perimeter

Only administration-specific acts or omissions with duty, competence, knowledge, causation and effective individualised harm should enter a public-authority-liability claim.

Recorded value

Assets, productive unit, contracts and income potential.

Pressure / disputed debt

Enforcement, banking and creditor-treatment questions.

Defensive concurso

Protection of LPB against immediate execution.

Failed exit

Convenio, finance and recovery routes not made effective.

Liquidation / rupture

Disputed valuation, possession, adjudication and control.

Continuing harm

External operation, transformation, income and public interfaces.

LEY 40/2015 · ARTICLES 32–37

Reserve the right — but activate it through the correct route, actor and limitation calendar

Administrative public services

Articles 32–35 require effective, economically assessable and individualised injury causally linked to the normal or abnormal operation of a public service, subject to the statutory exclusions. Article 33 addresses concurrent public administrations.

Administration of Justice

Article 32.7 sends judicial-administration liability to the special Organic Judiciary Act regime. Judicial error, abnormal functioning and unjustified preventive detention do not follow the same route as an ordinary municipal or regional claim.

Private and professional actors

Private parties, corporate actors and the insolvency administrator require their own civil, concursal, professional, contractual or criminal analysis. They should not be forced into Ley 40/2015 merely because their conduct occurred around a judicial proceeding.

Controlled rights reservation

Without admission as to limitation, accrual, causation, competence or quantum, Aweswell Limited, LPB, Matkator and the relevant rights-holders expressly preserve the right to formulate, particularise, expand or activate claims for patrimonial liability under Articles 32 to 37 of Ley 40/2015 and, for the Administration of Justice, under the applicable Organic Judiciary Act regime, in respect of effective, economically assessable and individualised harm directly or indirectly attributed to identified public-service acts or omissions.

This publication records the position and the continuing-harm hypothesis. It is not presented as replacing the required administrative claim, establishing liability, interrupting prescription or satisfying any prior-declaration requirement.

Protective practice requires one file per administration or coordinated causal cluster: act/omission, competence, duty, knowledge, corrective opportunity, injury, causal chain, date of stabilisation or manifestation, valuation, supporting evidence and procedural deadline.

Article 32
General conditions of public-authority liability; annulment alone is not enough.
Article 33
Concurrent administrations: solidarity or allocation according to competence, interest and intervention.
Article 34
Indemnifiable damage and statutory exclusions; quantify with a defensible method.
Article 35
Public bodies acting through private-law entities or concurrently with private subjects.
Article 36
The injured party claims against the Administration; internal recourse against officials is a separate step.
Article 37
Separate criminal/civil liability and its relationship with the patrimonial-liability procedure.
Prescription warning
Article 67 of Ley 39/2015 generally sets a one-year period. A generic reservation in accounts or on a website should not be treated as tolling it.
Judicial route warning
For judicial error or abnormal functioning, apply the LOPJ route and any prior-declaration or Ministry of Justice requirements.

THE ACCOUNTABILITY METHOD

Turn “instrumentalisation” into an actor-by-actor causal proof

Actor layerQuestion to proveRequired output
Private property / creditor perimeterWhat debt, title, vote, possession, contract, valuation or income position was asserted, with what knowledge and benefit?Act, document, knowledge, contradiction, benefit and direct/indirect harm.
Insolvency administrationWhat statutory/professional duty and practical power existed; what recovery, accounting, valuation, protection or exit step was taken or omitted?Duty–power–notice–response–consequence matrix, kept separate from fee disputes.
Mercantile Court / judicial officeWhat was filed, what was known, what supervisory or decisional power existed, what was decided or left unresolved and what remedy was available?Order-by-order chronology. No collective attribution and no substitution of appeal by institutional complaint.
Municipal, regional and state administrationsWhich authority had competence over tourism, urbanism, public funds, tax, registry/cadastre, integrity or asset protection; when was it notified; what followed?Administration-specific patrimonial-liability file with limitation date.
The strongest formulation is proposition-by-proposition contradiction, not “everything was false.”

For each allegation, classify the answer as contradicted by primary evidence, materially weakened, mitigated, unresolved or supported. That produces a record capable of surviving scrutiny by a forensic accountant, insolvency lawyer, appellate court and public administration.

PUBLICATION CONTROL

What this page establishes — and what it does not

It establishes the defence architecture

Positive patrimonial coverage, a documented exit record, independent valuation evidence, a parent-level statutory filing and separate recovery perimeters must be analysed together.

It does not establish every ultimate fact

It does not finally determine legal insolvency, title to every unit, destination of every receipt, liability of any private or public actor, or the outcome of the calificación appeal.

It fixes the next evidential burden

Link every figure to the complete primary document; reconcile liquidity by date; map each failed rescue condition; allocate accounts and flows by entity; and file administration-specific rights-preserving claims before limitation.
