Legal Notebook · Santana Cazorla / Anfi / Lopesan · insolvency sale

Was €8 million the market—or the starting rule?

In February 2025 Lopesan acquired the remaining 50% of Anfi after a short competitive process drew no superior offer. The dispute is not resolved by comparing two headline numbers: it requires the sale order, the KPMG report, debt and cash-flow perimeter, market-access conditions and the decision on the reported challenge.

Publicly reported sequence

A court-authorised sale with competition—and a dispute about whether the design could discover value.

The primary sale order and valuation report were not located in a complete public form during this review. The chronology therefore identifies which points come from legal reporting and which remain dependent on the underlying record.

  1. The Provincial Court confirms Anfi’s creditor arrangement.

Reporting on the Fourth Section’s judgment says it affirmed the arrangement for Anfi Sales and Anfi Resorts, offering creditors a 45% haircut/55% recovery route or capitalisation without haircut, and criticised a Santana-linked challenger for abuse of process. The decision was reported as still open to a possible Supreme Court appeal.

  2. Mercantile Court no. 2 authorises a competitive sale.

According to legal reporting, substitute judge Carlos Vielba used an €8 million offer from Anfi International/Lopesan as the anchor. Competing offers had ten days, had to improve it by €1 million and required a €5 million bank cheque. A KPMG report was cited on the offer’s fairness or economic reasonableness.

  3. Lopesan is reported to acquire the remaining 50%.

EFE reported that no higher offer was presented and that Lopesan completed control for €8 million. Lopesan announced more than €100 million of future investment and referred to substantial debts in Anfi Sales and Anfi Resorts. Future investment is economically relevant but is not the same as purchase-price consideration to the estate.

  4. Santana family members expand their challenge.

Atlántico Hoy reported a reconsideration challenge invoking new facts, alleging that €8 million was far below a €83.668 million value assigned to the shares in the insolvency inventory and that the process did not create genuine competition. Those propositions are challengers’ allegations pending verification against the filings and decisions.

  5. The decisive outcome remains unlocated.

No reliable public report or primary order determining the challenge to the 50% Anfi sale was found by the evidence-check date. A holder of the later order can close this status gap through the moderated source thread.

Evidence classification

Price paid, value alleged and value preserved are different propositions.

Reported order

The sale was not described as a closed bilateral transfer: a court-authorised process invited improved offers for ten days, imposed a minimum €1 million improvement and required a €5 million bank cheque. KPMG was reported to have assessed the anchor offer’s economic reasonableness.

Reported result

No superior offer was reported and Lopesan acquired the remaining 50% for €8 million. That is strong evidence of the result under the process used; it is not by itself proof that every plausible buyer had adequate time, information and conditions to bid.

Challengers allege

Alberto Santana Trujillo and Virginia Santana Trujillo reportedly argued that the shares had been carried in the insolvency estate at €83,667,569.53 and that the sale design was tailored rather than genuinely competitive. The comparison requires the inventory valuation’s date, basis, liabilities, restrictions and subject interest.

Acquirer says

Lopesan publicly framed full control as the basis for stabilisation, substantial investment and preservation of more than 700 jobs against very large company debts. That industrial case matters, but any non-price benefits should be identified and valued rather than silently merged with estate proceeds.

Legal issue

A defensible sale record should allow a reader to trace why the process, constraints and selected offer maximised realisable estate value at the decision date. A high historic valuation does not prove a low sale was unlawful; a failed auction does not prove the anchor was optimal. The missing bridge is the reasoned reconciliation.

Reporting agenda

Six records can turn the controversy into an answer.

1 · Sale order

What exactly was authorised?

Publish the complete 6 February order, bid perimeter, timetable, information rights, conditions and final adjudication record.

2 · KPMG

What did “reasonable” measure?

Identify instruction, subject interest, valuation date, methods, debt, minority/control assumptions, sensitivities and report limitations.

3 · €83.668m

Was the inventory number comparable?

Reconcile gross asset, enterprise, equity and 50% share values, including debt, shareholder agreements, litigation and cash requirements.

4 · Market test

Who could realistically bid in ten days?

Identify outreach, data-room access, diligence, financing proof, deposit mechanics, conditional bids and reasons any interest failed.

5 · Estate benefit

What value reached creditors?

Separate cash price, assumed obligations, debt effects, guarantees, investment commitments, employment and litigation savings.

6 · Challenge

What was finally decided?

Publish the reconsideration filings, responses, decision, any appeal and present finality status.

Do not conflate

The later Mar Abierto / Taurito auction is a separate proceeding.

It provides a useful legal contrast on sale criteria, but it did not determine the February Anfi share sale.

17 SEP 2025

Mercantile Court no. 1 reportedly confirmed Lopesan as provisional successful bidder for four Mar Abierto/Santana Cazorla hotel lots in Taurito, at an aggregate figure around €99.432 million. Appeals were described as non-suspensive.

17 MAR 2026

The same legally separate auction was later reported as awarding the hotel package to the Martinón/Valle Taurito perimeter for €85 million despite a Lopesan cash figure €1,000 higher, because the court assessed a wider estate-interest package including a park/parking arrangement, €2.5 million in receivables left to the estate and worker preference. The decision was reported as open to reconsideration.

Why it matters: the later auction illustrates that a sale decision may compare more than nominal price—but then those additional benefits and legal criteria must be explicit, measurable and consistently applied. It does not establish that the Anfi process was defective.

Comparator, not proof

Why the Anfi record matters to Project Sun Rock—and where it does not.

Anfi sale

Share transfer under a reported court-designed process

  • A defined 50% corporate interest and an €8 million anchor.
  • Short competing-bid window and financial-security requirements.
  • Reported fairness analysis and a later valuation challenge.
  • Industrial plan, debt and employment presented as outcome context.
Sun Park

Asset, title and operational-perimeter reconstruction

  • Need to distinguish LPB estate assets, third-party units and operating rights.
  • A funded rescue/operator route and later competition requiring comparison.
  • Material control, demolition/alteration and investor narrative before 2022 title.
  • Need to trace proceeds, value, rights and implementation property by property.
No finding of common conduct: the Anfi share sale and Sun Park involve different debtors, assets, proceedings and decision structures. Their legitimate common question is narrower: what process and valuation evidence demonstrate maximum lawful value, and how were credible alternatives treated?
